Contract Review and Negotiation

We negotiate a wide range of commercial and business contracts, including in-bound and outbound software license agreements, vendor agreements, software as a service agreements, hardware purchase and sale agreements, OEM, reseller and VAR agreements, manufacturing agreements, distribution agreements, design and development agreements, warehousing and remote inventory management agreements, consulting agreements, professional services agreements, and nondisclosure agreements.

We assist clients with procurement and supply chain projects from the nondisclosure agreement and RFP/RFQ/RFI stage through preparation and negotiation of master services agreements and statements of work. We negotiate and draft construction contracts for property owners and tenants according to project agreement standards including stipulated sum, guaranteed maximum price, and design-build contracts.


Contract Management and ‘Playbook’ Development

We also help our clients manage and streamline the contract review and negotiation process. We do this by preparing template agreements customized to each client’s unique business needs or reviewing and updating existing contracts to meet best practices and to best accomplish business objectives. We can also create and implement contract negotiation playbooks for our clients with pre-negotiated fallback provisions and negotiating tips and pointers. Contract playbooks help ensure consistency in contracts, minimize uncertainty and risk while maximizing efficiency. A well drafted playbook will not only reduce legal costs, but will also reduce the amount of time it takes to negotiate and finalize contracts.
